We are currently seeking a junior Commercial Counsel to focus mainly on the UK market. You will be based in our Glasgow office and join a 15-strong team in the UK and a global legal function of over 200 lawyers. The successful candidate for this role will be highly motivated to work closely with their commercial colleagues to enable business success. The junior Commercial Counsel will support on deals led by more senior members of the team, under their close guidance. They will be involved in transactions covering the full range of Cognizant’s services and clients. The successful candidate will be confident lawyers looking to grow their experience of reviewing, advising on and negotiating contracts. They will also be comfortable multitasking and handling changing priorities in a dynamic environment. Experience of commercial services agreements would be a strong advantage; some knowledge of IT or outsourcing is desirable but not essential. The candidate will ideally have had training in a reputable law firm. This is a fantastic opportunity for an individual committed to an in-house career to join an exciting sector and over time grow into deal-leaders in their own right, being mentored by a team of highly experienced lawyers. Candidates will work with clients and colleagues based across the globe and there will be occasional travel within the UK. Main day-to-day responsibilities will include: • Working on all phases of deals, ranging from the proposal/bid review stages, right through to final negotiation • Implementing subcontracts, teaming agreements and other deal-associated contracts • Interacting with other corporate functions across geographies • Advising on post-signature issues • Ad hoc advice on non-transactional legal matters • Delivering training to business teams and other legal team members Necessary skills and qualifications include: • Scottish or English law qualified • Precision in legal drafting and business communications. • Good knowledge of contract law • Ability to assess legal risks in the context of the deal and the wider business, and balance these with commercial needs. • Confidence to act as the “conscience” of the company and escalate where required • Excellent communicator and able to communicate effectively with people at all levels of our organisation and with our clients; both oral and in writing. • Able to multitask with rapidly changing priorities and to manage multiple tasks in a dynamic environment. • Self-starter and able to work independently and remotely. • Flexible, strong and self-assured personality. • Comfortable operating within an international environment with a diversity of cultures. • Possess analytical problem solving and project management skills. • A strong “client first” mentality About Cognizant Cognizant (NASDAQ: CTSH) is a leading provider of information technology, consulting, and business process services, dedicated to helping the world's leading companies build stronger businesses.
