About the role: You will provide a professional governance support service to the group board, its subsidiaries and related committees. This role ensures the group’s governance arrangements and documentation, including terms of reference, policies and other governance documents are up to date, fit for purpose, meet regulatory and statutory requirements, as well as being regularly monitored and reported on. Key duties: - Maintain awareness of, and provide guidance and advice on, good governance processes to the Board and staff, including ensuring compliance with their Code of Governance - Attending Board and Committee meetings as well as managing the production and distribution of reports and minutes - Periodically update their Code of Governance and all supporting documents. Ensure the Code is consistent with the latest NHF code and meets all regulatory and statutory requirements - Organise, manage and support the recruitment, induction and on-going training of Board members, including producing and updating induction and other training materials, in accordance with good governance practice - Ensure the probity and reputation of our client is protected through the development and implementation of appropriate policies and procedures - Support the Company Secretary to provide a professional company secretarial service by establishing, maintaining and develop company administration systems for the Group, ensuring that all legal and regulatory requirements are met - Advise on requirements arising from the governing documents to ensure company administrative and governance processes are constitutionally compliant, seeking advice from legal advisers where appropriate and recommending changes to relevant governance documents as required. - Ensure compliance with the FCA consumer credit permissions regime. Essential skills: - Related degree, recognised legal qualification and / or experience of governance in the housing sector - ICSA qualification (exceptional candidates not holding the ICSA qualification may be considered) - Knowledge of corporate governance legislation and best practice - Understanding of the roles and relationships between the Board, Chair, Chief Executive, and Executive Directors - Demonstrable governance and company secretary, or equivalent, experience - Knowledge of legal and compliance requirements relevant to the group and its subsidiaries - Experience of dealing effectively with governance and business conduct issues - People management – including effectively managing and motivating staff and the ability to manage relationships with external advisors effectively - Confidence and gravitas in liaising with senior figures Desirable skills: - Evidence of personal development both professionally and managerially - Knowledge of the Social Housing Regulatory Environment – including HCA and FCA - Experience of working in an organisation under public and political scrutiny, with good political awareness - Budget management - Team player with skills to develop collaborative relationships You may have experience of the following: Head of Governance, Company Secretary, Code of Governance, Social Housing, Regulatory Environment, HCA, FCA, Compliance, Legal, ICSA, Policies, Housing Sector, etc. This vacancy is being advertised by EasyWeb Recruitment, the UK’s leading Online Recruitment Agency.
